Context & objectives

Verpack, a French player in the luxury packaging sector, has an Information System that is closely linked to its industrial operations and its growth ambitions.

As part of its investment in Verpack, Aldebaran Capital Partners commissioned Netsystem to carry out an IT due diligence exercise to assess the maturity of the IT system, identify the main risks and evaluate its capacity to support the company’s growth strategy.

The aim was also to identify opportunities for value creation and to incorporate IT considerations into the investor’s strategic and financial planning.

Key figures for Verpack: over 500 employees | 6 sites in France and Tunisia | approximately €56 million in turnover

Business challenge

How can we develop the information system to support industrial performance, facilitate growth and contribute to value creation?

For Verpack, a number of strategic issues needed to be analysed:

  • Applications & ERP : assessing the application platform’s ability to support business growth and the standardisation of processes.
  • Data & management : identify opportunities to improve reporting and data utilisation in order to strengthen performance management.
  • Growth & scalability : anticipating the changes needed to support the company’s growth.
  • Cybersecurity & resilience : assessing cyber risks and measures to ensure protection and business continuity.
  • IT Organisation : assessing the alignment of the IT operating model with the Group’s ambitions.
  • A further challenge was to translate these technological priorities into investment priorities consistent with the Business Plan.

Response & method

The IT due diligence carried out by Netsystem enabled the development of a strategic vision for the information system and its future development prospects.

The main deliverables and outcomes of the assignment:

  • A comprehensive assessment of the IT system, covering the IT organisation, business applications and ERP systems, infrastructure, user environments, cyber security and IT costs.
  • Identifying the key drivers of transformation to support operational performance, management, growth and resilience.
  • Defining IT transformation priorities, aligned with Verpack’s strategic and operational objectives.
  • An IT investment plan, incorporating CAPEX and OPEX forecasts into the business plan.
  • A shared vision between the investor and the management team, which makes it easier to understand the technological challenges and future investments.
  • This approach has enabled IT to be positioned as a key component of Verpack’s value creation strategy.

Key success factors

The value delivered by Netsystem’s IT M&A experts is based on several key elements of their approach:

  • An IT & Business approach: analysing the information system in the light of the company’s development ambitions and performance challenges.
  • Comprehensive coverage of all aspects of IT: combining organisational, application, technical, cyber and financial analyses to provide a coherent overview.
  • A value-creation-focused approach: identifying and prioritising IT initiatives based on their potential contribution to the company’s growth.
  • A financial interpretation of the technological challenges: incorporating future IT investments into the business plan projections.
  • A shared vision between investors and management: to provide a common basis for informing decisions and preparing for the next stages of transformation.

Netsystem’s belief: IT due diligence should enable organisations to anticipate changes to their information systems, underpin investment decisions and identify the technological drivers capable of sustaining value creation in the long term.
